TANGIPAHOA PARISH SCHOOL BOARD PROCEEDINGS

 

February  19, 2002

 

            The Tangipahoa Parish School Board met in regular session on Tuesday, February 19, 2002, at 6:30 p.m., in the School Board Meeting Room, School Board Office, 313 East Oak Street, Amite, Louisiana, with President Al Link, Presiding.

 

MEMBERS PRESENT: Sandra Bailey, Tony P. Ardillo, Jr., Robert Caves,  Al Link, Carl Bardwell, Donnie Williams, Maxine Dixon, Jimmy Richardson  and Leroy Hart

 

MEMBERS ABSENT:            None

 

            Cadet Hobert Smith,  student – Amite High School, gave the invocation, and Cadet Patrick Thomas, student – Amite High School, led the Pledge of Allegiance.

 

            There were no requests for Public Input.

 

            It was moved by Mr. Richardson, seconded by Mr. Caves, to approve the Board Minutes of  February 5, 2002 as distributed. Hearing no objection, the motion was unanimously adopted.

 

            Dr. Ronald Weber gave the board a presentation on the district boundaries. It was moved by Mrs. Dixon, seconded by Mr. Richardson, to approve the adoption of the resolution for District Boundaries – Plan 1.  Mr. Williams offered a substitute motion to approve the adoption of the resolution for District Boundaries – Plan 3. This motion was seconded by Mr. Bardwell. A roll call vote on the substitute motion yielded the following results: two (2) yeas and seven (7) nays; yeas: Williams and Bardwell, nays:  Richardson, Hart, Ardillo, Link, Caves, Dixon, and Bailey. A roll call vote on the original motion yielded the following results: nine (9) yeas and no nays; yeas: Richardson, Hart, Ardillo, Link, Williams, Caves, Dixon, Bailey, and Bardwell. Hearing no objection, the motion was unanimously adopted.

AN RESOLUTION OF THE TANGIPAHOA PARISH SCHOOL BOARD PROVIDING FOR THE ADOPTION OF SCHOOL BOARD DISTRICTS IN ACCORDANCE WITH THE 2000 CENSUS, DEFINING THE TERRITORIAL LIMITS OF EACH DISTRICT, DESCRIBING THE BOUNDARIES OF THE DISTRICTS, AND DESIGNATING THE DISTRICTS.

 

WHEREAS,     the Tangipahoa Parish School Board has determined that it should reapportion its Election Districts, based upon the results of the 2000 Federal Census,

 

WHEREAS,     the Tangipahoa Parish Council has adopted an ordinance subdividing fifteen existing election precincts to facilitate the Tangipahoa Parish School Board reapportionment, and

 

WHEREAS,     the Tangipahoa Parish School Board has thus reapportioned its Election Districts as provided herein.

 

 

NOW, THEREFORE BE IT RESOLVED by the Tangipahoa Parish School Board, in regular and legal session convened on the nineteenth day of February, 2002, that:

SECTION 2:  That all precincts referenced herein shall refer to and be construed as those precincts legally in effect on the effective date of this Resolution, including any changed or split precincts that have been passed by the Tangipahoa Parish Council on or before the effective date of this resolution, regardless of any subsequent boundary changes in those precincts.

 

SECTION 3:  The effective date of this Resolution shall be the first day of qualifying for the 2002 school board elections, subject to the relevant preclearance provisions of the Voting Rights Act of 1965.

 

SECTION 4:  The Tangipahoa Parish School Board Attorney is hereby authorized to submit to the Attorney General of the United States through the United States Department of Justice a copy of this Resolution and any other information regarding any changes affecting voting which may result from the enactment of this Resolution and which may be required by the Attorney General pursuant to Section 5 of the Voting Rights Act of 1965, in order that these changes may be precleared and approved by the Attorney General in accordance with the Voting Rights Act of 1965.

 

SECTION 5:  All resolutions or parts thereof in conflict herewith are hereby repealed.

 

SECTION 6:  This Resolution shall be published one time in the Official Journal of the Tangipahoa Parish School Board.

AGREEMENT

FOR

MEDICAID ADMINISTRATIVE OUTREACH

"Participant Parish with Lead Parish"

 

This contract is entered into on the  19th day of February 2002 by and between the  Tangipahoa Parish (herein referred to as the Participant Parish), and the Jefferson Parrish School Parish, (herein referred to as the Lead Parish).

 

Whereas, the Participant Parish would like to participate in the Medicaid Administrative Outreach program and would like the Lead Parish to act on it's behalf in submitting claims for reimbursement to the State Medicaid Agency. By signing this agreement the Participant Parish agrees to use the selected vendor, Cost Management Services, Inc. (herein referred to as CMS), to develop the program for reimbursement of Medicaid outreach claims.

 

Whereas, CMS has entered into a contract with the Lead Parish to provide consulting services to the State of Louisiana and the School Parishes to claim administrative outreach activities under the Medicaid program.

 

Whereas, CMS has entered into a contract with the Louisiana School Boards Association to assist in marketing of administrative outreach services to Louisiana school Parishes, and assisting with public relationships in the State of Louisiana to facilitate approval of Administrative Outreach reimbursement for school Parishes.

 

Whereas, CMS has expertise with the Medicaid Program, and claiming for administrative cost reimbursement for prospective school based administrative outreach activities;

 

NOW THEREFORE, and in accordance with the Agreement, the parties to the Agreement mutually agree to the following terms and conditions:

 

1. SERVICES

 

The Lead Parish through the selected consulting vendor CMS, will provide the following services: develop and provide processes necessary to identify allowable administrative activities, calculate administrative claims for reimbursement, review and approve claims submitted by Participant School Parishes, and submit claims to the State Medicaid Agency for reimbursement. The Lead Parish will utilize CMS services in the design, development, and preparation of Medicaid Administrative Outreach Claims, for the Lead Parish and Participant Parish. CMS will provide necessary resources to assist the Lead Parish with labor intensive activities. These Services are more particularly described in Exhibit A and B to this agreement, which is incorporated into the Agreement by reference.

 

The responsibilities of the Participant Parish in addition to the body of this Agreement are more particularly described in Exhibit C, which is incorporated into the Agreement by reference.

 

The Louisiana School Boards Association's responsibilities, although not part of this agreement, include: assisting CMS in marketing Medicaid Outreach Reimbursement services to Louisiana school Parishes, selecting a Lead Parish to act as fiscal agent for participating school Parishes and facilitating an arrangement between CMS and that Lead Parish to participate in the program, providing some fiscal arrangement with that Parish to counter any increased cost associated with implementing this program, and facilitating meetings with parties in the State of Louisiana that will likely facilitate approval of the process.

2. TERM

 

This Agreement shall be in effect from the signing of this agreement, and shall remain in effect up to and including quarter claim submittal ending December 31, 2004.

 

3. COMPENSATION

 

a.         Fees will be the percentage of Federal revenues received by the Lead Parish on behalf of the Participant Parish that represents paid Medicaid administrative claims. The Lead Parish will deduct the appropriate fee from the revenue received from the Medicaid Agency for that Participant Parish and pay that fee to CMS. This fee is 12% of the net Federal share of the Participant Parish's Medicaid administrative claim. That fee will be paid by the Lead Parish within thirty (30) days after the receipt of such revenue for fiscal quarters covered under the terms of this contract.

 

b.         Return of Percentage Fee Under Certain Circumstances. If any action or omission of CMS results in the Parish's improper receipt of Medicaid administration outreach reimbursement, and results in a subsequent disallowance of federal reimbursement and a refund of Federal funds, CMS will refund to the Lead Parish, the relative pro rata share of the percentage fee received pursuant to such actions or omissions.

 

c.             Payment Upon Early Termination of the Agreement. In the event that the Lead Parish, or any Participant School Parish, or CMS terminates the Agreement, CMS shall be paid an amount equal to the percentage fee for all work done by CMS that resulted in collections for the Parish.

 

4. CONFIDENTIALITY AND PROPRIETARY INFORMATlON

 

The parties acknowledge that their participation in the Medicaid Administrative Outreach program will involve the use of proprietary or confidential information and/or trade secrets of CMS. To the extent that the Participant Parish obtains possession of any property of CMS (including, without limitation, computer software, data collection forms, training manuals and other proprietary or confidential information, and trade secrets) in connection with the Medicaid Administrative Outreach Program, such property shall remain the property of CMS, and the Participant Parish shall acquire no right or interest in such property. The Participant Parish agrees to protect the confidentiality of any such CMS Materials and shall not permit any other party to obtain access to the CMS Material without CMS' s express written consent. The Participant Parish's obligations hereunder shall continue after the termination of the Agreement.

 

5. EXCLUSIVE RELATIONSHIP

 

During the term of this Agreement, the Participant Parish agrees that is shall not participate in any other program or otherwise contract with any other entity to capture cost data and claim for Medicaid administrative outreach.

 

6. TERMINATION OF AGREEMENT

 

a. Termination by the Lead Parish or Participant Parish. In consideration of the substantial front-end cost and risk incurred by CMS on behalf of the Lead Parish and the Participant School Parishes, the Lead Parish and Participant Parish agrees that its obligations with respect to administrative outreach activities set forth in this Agreement can not be terminated except in cases of material breach, fraud and dishonesty by CMS. If terminated under such circumstances CMS shall provide the Lead Parish with records and documents needed to support past claims and any work in process.

 

b. Termination by CMS. CMS may terminate this Agreement if (1) the Lead Parish is in breach of any provision of this Agreement and the Lead Parish fails to meet the agreement for a 30 day period subsequent to CMS notifying the Parish Superintendent of the breach, or (2) if the Association fails to meet all of the provisions in their agreement with CMS; or (3) CMS finds it uneconomical to continue to provide Services.

c. In the event that CMS terminates pursuant to 6. b. (3) above, CMS agrees to render reasonable assistance to the Lead Parish in the orderly transition of CMS responsibilities, with the objective of assisting the Lead Parish to internally assume CMS's responsibility under this Agreement. Such assistance shall be rendered from the date CMS gives notice of termination until the effective date of termination pursuant to f. below.

d. In the event CMS terminates under 6.b. (3) CMS will allow the Lead Parish to continue to use CMS materials and information required for to perform the activities connected with submitting administrative outreach claims as long as the Lead Parish does not use other consultants/vendors to develop Medicaid administrative outreach claims.

 

e. Notice of Intent to Terminate as Permitted in this Agreement. Notice of intent to terminate this Agreement shall be sent certified mail to the other party at their last official address, unless another address is specified by the parties in writing. Except for the condition specified in Section 6.b. (3) of this Agreement, the party receiving the notice of intent to terminate shall be given thirty (30) days from the date of notification of termination to cure the circumstances giving rise to the termination notification. In the event there is no cure, the termination shall become effective on the thirty-first (31) day from the date of notification of the termination.

 

f. In the event that CMS terminates the Agreement subject to Section 6.b. (3) of this Agreement, termination will be effective on the 9lst day from the date of notification of the termination.

 

7. NOTICES

All notices and other communications given or made pursuant to this agreement shall be in writing and shall be deemed to have been duly given or made if (a) sent by registered or certified mail, return receipt requested; (b) hand delivered; (c) sent by prepaid overnight carrier, with a record of receipt; or (d) sent by facsimile (with confirmation of receipt), to the parties at the following addresses (or at such other addresses as shall be specified by the parties by like notice):

8. OTHER CONDlTIONS TO THE AGREEMENT

 

The Lead Parish and the Participant Parish mutually agree to the following additions with respect to the performance of the Services described in this Agreement:

 

a) Subcontractor. CMS shall utilize resources, as necessary or appropriate to assist in the performance of the Services described in Exhibit A of this Agreement.

 

b) Each party hereto shall indemnify and hold the other party, its subsidiaries and employees harmless from and against any and all claims, loss, damage, cost, and expense which may be suffered or incurred by the offending party as a result of any claim or action by any person arising in any manner from any party's breach of this contract.

c) This Agreement constitutes the entire agreement between the parties hereto with respect to Medicaid outreach claims reimbursement and supersedes all other oral or written representations and understandings.

 

d) The Participant Parish or its authorized representative shall have the right to full access and right to audit, upon reasonable notice during regular business hours, any of the records supporting the calculation of the revenue. Any audit shall be at the expense of the Participating Parish.

 

e) This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana.

9. BINDING NATURE AND ASSIGNMENT

 

This Agreement shall be binding on the parties and THEIR respective successors and assigns, provided, however, that neither party may assign this Agreement without prior written consent of the other, provided, further, however, that the foregoing shall not prevent an assignment of this Agreement, (and the rights and obligations thereunder) by either party to any successor to such party.

 

10. SEVERABILITY

 

In the event that anyone or more of the provisions of this Agreement shall for any reason be held invalid, illegal, or unenforceable, the remaining provisions of the Agreement shall be unimpaired, and the invalid, illegal, or unenforceable provision shall be replaced by a mutually acceptable provision, which being valid, legal, and enforceable, comes closest to the intention of the parties underlying the invalid, illegal, or unenforceable provision.

 

11. WAIVERS AND AMENDMENTS

 

No delay or omission by any party in enforcing its rights or remedies under this Agreement shall impair such right or remedy or be deemed to be a waiver thereof. No waiver of any right or remedy under this Agreement with respect to any occurrence or event on one occasion shall be deemed a waiver or remedy with respect to such occurrence or event on any other occasion. No amendment or waiver shall be valid unless in writing and signed by an authorized representative of the Jefferson Parrish Parish and Participant Parish.

SCOPE OF SERVICES -Attachment A -CMS Responsibilities

 

1. Consulting services to be provided by CMS to the Lead Parish and Participant School Parishes agreeing to participate in the Medicaid Administrative Outreach Claim Program generally include the following:

 

a) Initiating and/or assisting the Lead Parish and/or Participant School Parishes to enroll as Medicaid administrative outreach providers including discussions with the Department of Health and Hospitals on provider enrollment procedures and contracts, the administrative outreach process, program, reimbursable activities, cost accumulation methodologies and application of Medicaid discount factors.

 

b) Review of Lead Parish and/or Participant School Parish programs to identify programs and program activities potentially reimbursable as Medicaid administrative outreach activities.

 

c) Review of Participant Parish financial records to identify costs associated with the performance of Medicaid administrative outreach activities and develop a cost reporting methodology acceptable to the Department of Health and Hospitals.

 

d) Development of a sampling methodology if not available from the Department of Health and Hospitals to establish the Medicaid eligibility rate (discount factor), to apply to administrative claims.

 

e) Periodic administration of the sampling algorithm to identify the specific Medicaid eligibility status of each student selected for the sample population.

 

f) Development of manuals and associated training materials necessary to train personnel in the proper reporting of their alternative activities during the administration of the time study.

 

g) Provide training and follow-up technical assistance as required to properly complete the time studies.

 

h) Monitor parish quarterly time study results and provide feedback to parish. Provide additional training to targeted staff based on time study results.

 

i) Working with the Department of Health and Hospital's vendor assigned to monitor the administrative claiming process.

 

j) Subsequent performance of the time study at quarterly intervals with approvals by the Department of Health and Hospitals and the federal Health Care Financing Administration (HCFA).

 

k) Development of all forms, procedures and data collection instruments necessary for the development of the quarterly Medicaid administrative outreach claims.

 

l) Provide resources to complete related labor intensive activities on behalf of the Lead Parish.

 

m) Assist participating parish in preparation of the quarterly Medicaid administrative outreach claims.

 

n) Other activities as CMS and the Lead Parish mutually agree would result in an expanded Medicaid administrative outreach claims.

EXHIBIT B.

 

SCOPE OF RESPONSIBILITIES -Attachment B. - Lead Parish

 

Lead Parish Responsibilities generally include the following:

 

a) Agree to be the Medicaid administrative outreach provider for school Parishes interested in participating in the program.

 

b) Attend meetings with the Medicaid Agency, as required by that agency, to develop policy and procedures and negotiate enrollment of the Lead Parish. (CMS will develop policy and procedures, but provider may be required by the Department of Health and Hospitals to attend those meetings as it involves provider responsibilities.)

 

c) Provide CMS project team representatives with access to documentation, records and electronic media and other cooperation necessary for the performance of the work.

 

d) Assign an individual having decision making authority with whom the CMS Project Director will work with during the performance of the Services.

 

e) Sign agreements with Parishes to process administrative claims

 

f) To have its personnel complete time reporting instruments required for the portion of personnel time for Medicaid administrative outreach activities.

 

g) Receive time study documents, cost information, and match certification from participating parishes.

 

h) Upon payment of the Federal share from the Medicaid Agency make appropriate fee to CMS as stated in Section 3 of the agreement.

 

i) Write checks to participating Parishes representing the Federal share of Medicaid outreach activities performed by that Parish. (CMS will provide the amounts due each Parish.)

 

j) To provide such other assistance as may be reasonably requested for the performance of the Services as may be agreed upon.

 

EXHIBIT C.

 

SCOPE OF RESPONSIBILITIES -Attachment C. -Participant Parish

 

Cooperation -The Participant Parish shall provide the Jefferson Parish or it's agent, CMS with the information, documents, and access as may be necessary and appropriate for the Jefferson Parish to perform the services defined in the Agreement. These items include, but are not limited to providing:

 

a) a contact/liaison in the Business Office and the Special Education Department to work with the Lead Parish and CMS in carrying out services

b) Rosters of Participant Parish staff that may be engaged in administrative outreach activities to assist the vendor in identifying the sampling universe

c) Attendance in required training by time study participants

d) Staff participation in the quarterly time studies

e) Quarterly submittal of expenditure data from accounting records necessary to determine cost of Parish's outreach activities

f) Other assistance and documentation as may be necessary and reasonable to carry out the goals of the agreement.

A resolution amending the date of the bond election in School District No. 104 (Loranger) of the Parish of Tangipahoa, Louisiana, from April 6, 2002, to July 20, 2002; describing the new school building to be constructed and acquired, and committing to and contracting with the voters that the new school building will be constructed on a site near or adjacent to the existing Loranger school building site.

 

NOW, THEREFORE, BE IT RESOLVED by the School Board of the Parish of Tangipahoa, State of Louisiana (the "Governing Authority"), the governing authority of School District No. 104 (Loranger) of the Parish of Tangipahoa, Louisiana (the "District'), that:

 

SECTION 1. The bond election scheduled to be conducted on April 6, 2002, in School District 104 (Loranger) or the Parish of Tangipahoa, Louisiana, as set forth in the resolution adopted by this Board on December 4, 2001, be and the same is hereby amended to provide that the said special election shall be conducted on July 20, 2002, an authorized election date under the Election Code of Louisiana,

 

SECTION 2. The President, Secretary and bond counsel for the Board shall prepare a proposed authorizing resolution making other amendments describing the new school building to be constructed and acquired. and contracting that the new school building will be situated on a site near or adjacent to the existing Loranger school building site. Said resolution shall be submitted to this Board for adoption at its next regular meeting.

 

SECTION 3. The resolution authorized to be prepared in Section 2 shall, when adopted and signed by the President of the School Board and attested by the School Board Secretary and Superintendent of Schools, constitute official representations of this Board to the public on which qualified electors may rely in determining how they will cast their votes for or against the bond proposition. Certified copies of the said resolution shall be distributed to all qualified electors of the District as the "Blue Book," and shall constitute a contract with the voters intended to be enforceable by a court of law. The "Blue Book" shall specify the location of the new school building to be constructed on a new site near or adjacent to the existing school building complex in Loranger; that payment of the purchase price for the land will occur only after the election carries, and that said resolution shall describe the new school building and related facilities to be acquired with the proceeds of the bonds.

 

SECTION 4. Certified copies of this resolution shall be immediately communicated by

the Secretary of  the Board to the State Bond Commission, the Elections Department of the Secretary of State, the Civil Rights clearance office of the Attorney General, the Clerk of Court and Recorder for the Parish of Tangipahoa Election Department, and the Registrar of Voters of the Parish of Tangipahoa, so that the said officials may take appropriate timely action in response to the action herein adopted so as to avoid unnecessary costs in the conduct of the said election.

SECTION 5. This resolution shall take effect immediately upon adoption.

            It was moved by Mrs. Bailey, seconded by Mr. Bardwell, to approve the Dyslexia Task Force Report of February 5, 2002. Hearing no objection, the motion was adopted, with Mr. Williams absent. Following is the report as approved:

 

1.         Mrs. Durio explained the Louisiana Educational Assessment Program (LEAP) testing accommodations for Students with Disabilities (Section 504 eligible).

 

2.         The committee set short and long-term goals as listed below:

 

            Short Term Goals:

 

a.                  Have more teachers trained for Project Read.

b.                  Survey the schools to determine why they are not using Project Read when there are Project Read trained teachers on staff.

c.                  Develop parish-wide system of accountability for meeting the needs of Dyslexic students.

Long Term Goals:

 

a.                  Conduct Dyslexia Simulation Workshop.

b.                  Seek funding for Section 504, Wilson Reading Program, and Project Read Program.

c.                  Continue to have Dyslexia and Section 504 information as a part of the Teacher Induction Program.

 

It was moved by Mrs. Bailey, seconded by Mr. Bardwell, to waive the rules to discuss and item that should be addressed to the Policy Committee. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

It was moved by Mr. Caves, seconded by Mrs. Bailey, to suspend the current policy regarding debit lunch balances. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

It was moved by Mrs. Bailey, seconded by Mr. Bardwell, to send the policy regarding debit lunch balance back to the Policy Committee for further discussion. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

It was moved by Mr. Caves, seconded by Mrs. Bailey, to approve the beneficial occupancy of the new maintenance office building and new shop building only. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

            Mr. Bardwell spoke in personal privilege and reminded the Board that the Louisiana Technical College – Hammond Area Campus would be holding Open House and encouraged his fellow Board Members to attend.

 

            Mrs. Bailey spoke in personal privilege and recognized the Loranger High School Cheerleaders for their accomplishments in competition.

 

            President Link informed the Board Members that pictures would be taken prior to the Board Meeting on March 19, 2002.

 

            It was moved by Mr. Bardwell, seconded by Mrs. Bailey, to enter Executive Session to discuss the case of Derrick White vs. Tangipahoa Parish School System. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

            The Board entered Executive Session.

 

            The Board returned to Open Session.

 

            It was moved by Mr. Caves, seconded  by Mr. Hart, to authorize the Board Attorney to settle the case of Derrick White vs. Tangipahoa Parish School System. Hearing no objection, the motion was adopted, with Mr. Williams absent.

 

            It was moved by Mrs. Bailey, seconded by Mr. Hart, to adjourn (7.35 p.m.). Hearing no objection, the motion was adopted, with Mr. Williams absent.
